Case.1

A silent partner of a real estate fund (GK-TK structure) owning real estate trust beneficiary rights and planning development of real estate that is trust property requested the selling of the partner’s equity investment in silent partnership and in order to acquire this investment in silent partnership, we, as a general partner (GP), organized a limited partnership for investment (LPS) with several investors.
As the GP, we perform such operations as due diligence of the real estate fund and the investment in silent partnership, documentation, notification of Specially Permitted Businesses for Qualified Institutional Investors and accommodation of offsite monitoring by supervisory authorities, monitoring of the development status, etc., of the real estate fund, administration of the LPS, etc.
 

Case.2

Upon obtaining information that the owner family of an enterprise group located in Tokyo and dealing in real estate and logistics businesses is considering the succession of business, we acquired all outstanding shares of the top enterprise of this enterprise group through a special purpose company (SPC) that we organized.
By carefully examining the subject company in detail from multiple perspectives and repeating negotiations using the results, we were able to obtain agreement from all of the numerous shareholders and acquire all outstanding shares.
Also, even after acquisition of the shares, we are assisting value creation of the assets possessed, financial restructuring, improvement of operations through digitization, etc., to promote further development of the business together with the executives and staff of the subject company group.
